Display The Correct Limited Company Details

Since the introduction of recent changes in tax heralded in the emergency budget Moore Hill Accountants of Warrington WA3 have been advising clients to convert to limited company status to save monay on their tax bills. This has helped save on national insurance contributions and will in the future allow clients to benefit from reductions in Corporation Tax adn the savings this delivers compared to incoem tax. As a result of this we have had to advise our clients on the legal requirements to display their correct company details. The display of these details is vital because if they are not displayed, the  directors and company secretary may be liable to criminal fines. In some circumstances individuals may lose the protection that the limited company status provides finding that they themselves as individuals have entered into agreements, rather than the company.

To help others that have recently converted to limited status or who are currently contemplating the move we have set out below a brief summary of what information needs to be displayed and where.

E-Mails, Website, Letters, Order Forms, Compliments Slips and Faxes

The following information should be displayed on all of the above company communications: 

  • Full company name (as registered at Companies House).
  • Where the company is registered (eg England & Wales, Wales or Scotland).
  • Company's registered office address.
  • Company registration number.
  • Many companies state their VAT registration number if VAT registered, but this is not required.
  • If you state the name of one director (other than in the text or as a signatory), you must state the names of all directors'.

Business Cards

Full company name as registered at Companies House.

Invoices

invoices must state:

  • Full company name as registered at Companies House.
  • If VAT registered, the VAT registration number must be displayed.

Other Correspondence and Documentation

The full company name, as registered at Companies House. must be stated on:

  • Business letters.
  • Notices and official publications. 
  • Bills of exchange, promissory notes, endorsements.
  • Cheques.
  • Orders for money, goods or services, bills of parcels.
  • Demands for payment.
  • Receipts and letters of credit.
  • Applications for licences.
  • Other business correspondence and documentation.

Registered Office and Business Addresses

The company must  display its full name in a place that can easily be seen by a visitor at:

  • Registered office.
  • Every location (other than an address which is primarily a residential address) at which it carries on business.
  • Any place it's records are kept available for inspection (usually the registered office).
  • As of 1st October 2008 companies are required to display their full name inside this location.
  • From 1st October 2008, companies that have been dormant since incorporation are no longer required to display their company name at their registered office (or any other office or place).
